Timothy M. McGinn
Mr. McGinn is Chairman of the Board of McGinn, Smith Alarm Trading, LLC which is a wholly-owned subsidiary of McGinn, Smith Holdings, and Chairman of the Board and an Executive Officer of McGinn, Smith & Co., Inc. He is also Vice Chairman of CMS Financial Services Corp., an Insurance Holding company.
Mr. McGinn served as the Chairman of the Board and Chief Executive Officer of Integrated Alarm Services Group, Inc. (IASG) from January 2003 until June 2006 at which time he resigned from the Board of Directors of IASG and rejoined McGinn, Smith & Co. Inc.
He has also served as non-executive Vice Chairman of Pointe Financial Corp., a publicly traded commercial bank and non-executive Chairman of its affiliate Pointe Bank.
Mr. McGinn has served as the Vice Chairman of the New York Racing Association from 1998 to 2005 and as a trustee of that organization since 1995. An owner and breeder of thoroughbred racehorses, Mr. McGinn races under the stable name of Double C. Stables. Mr. McGinn is a past director of St. Mary’s Hospital in Troy, New York.
Other affiliations held by Mr. McGinn include the Fort Orange Club in Albany, New York, Schuyler Meadows Country Club in Loudonville, New York, Saratoga Reading Room in Saratoga Springs, New York, the Pine Tree Golf Club in Boynton Beach, Florida and the Waterville Golf Club in Kerry, Ireland. Mr. McGinn is a native of Albany, New York. He currently resides in Niskayuna, New York and maintains a second home in Delray Beach, Florida.

Matthew Rogers
Mr. Rogers joined McGinn, Smith & Co., Inc. in 2007 as Senior Managing Director from USBX, a boutique investment bank serving the security sector, where he had been a managing director since 2005.
Mr. Rogers headed up Strategy and Business Development at Tyco’s Fire & Security segment between 1999 and 2004. Transferring from ADT in 1999, he led the acquisition program that increased segment revenues from $6 to $12 billion, handling hundreds of deals all over the world, from small privately held security and fire alarm companies to larger companies such as Sensormatic Electronics, the world leader in Electronic Article Surveillance, Simplex Time Recorder, US fire alarm market leader and Scott Technologies, world leader in breathing systems for rescue workers. In 2003-4, Mr. Rogers managed the segment’s divestiture program including the sale of Sonitrol to a consortium of Spire Capital, Carlyle Group and Wachovia, of NACC to Integrated Alarm Services Group and of Scott Aviation to Zodiac SA.
Prior to joining Tyco, Mr. Rogers worked in various corporate development positions for ADT and its predecessor ASH in the UK, buying and selling security and related companies.
Mr. Rogers earned his undergraduate degree from Trinity College, Oxford and his Masters in Business Administration from Cranfield School of Management.

Brian E. Shea
Mr. Shea is Chief Operating Officer, Secretary and Treasurer of McGinn, Smith Alarm Trading, LLC, a wholly-owned subsidiary of McGinn, Smith Holdings. Mr. Shea served as an Executive Vice President of Integrated Alarm Services Group (IASG) from March 2003 until July 2007. In his role at IASG, he headed the retail account acquisition and loan division, including portfolio management, due diligence, performance monitoring and collections. Additionally, Mr. Shea served as Corporate Secretary and Insider Trading Compliance Officer. Prior to this he was the Chief Financial Officer and had served as the Chief Financial Officer of IASI and its predecessor companies since 1992.
Prior thereto, he was Vice President of Finance/Controller of Hiland Park, a real estate development company. Prior to joining Hiland Park, he was an Analyst at Galesi Group and a Financial Manager for General Electric Corporation, where he graduated from GE’s Financial Management Training Program.

Doug Keenholts
Mr. Keenholts is Vice President of McGinn, Smith Alarm Trading, LLC, a wholly-owned subsidiary of McGinn, Smith Holdings. Mr. Keenholts has more than nine years of experience in the security alarm industry, working both with independent alarm dealers and in an operational capacity. From 2005 through June 2007, Mr. Keenholts served as Retail Division Manager for Integrated Alarm Services Group (IASG), overseeing its account purchase and finance business as well as managing the billing department. From 2003 to 2005, he was the Due Diligence and Funding Manager of IASG, where he played a key role in IASG’s rapid growth. As the lead due diligence analyst and closing coordinator, Mr. Keenholts helped facilitate the purchase of over 4.5 million in recurring monthly revenue (RMR) from the time of IASG’s initial public offering in June 2003 through the end of 2005. Between 1998 and 2003, he served in various capacities with McGinn, Smith and Co., Inc. a predecessor of IASG.
Mr. Keenholts graduated with honors from Rensselaer Polytechnic Institute with a Bachelor of Science degree in Management, concentrating in Financial Systems.

Joseph B. Carr
Mr. Carr joined McGinn, Smith & Co., Inc. as General Counsel in January, 2007. Prior to joining McGinn, Smith, Mr. Carr was a partner in the Albany, New York law firm of Couch White, LLP for six years, and prior to that was a partner in the Albany, New York law firm of McClung, Peters and Simon for over twenty years. His practice has been primarily involved with representing commercial lenders (Chemical Bank, Manufacturers and Traders Trust Company, M&T Real Estate Trust, New York Business Development Corporation, Empire State Certified Development Corporation and others) with respect to a wide array of secured loan transactions. Mr. Carr has also represented clients in a myriad of corporate matters such as entity formation, sales, mergers and acquisitions. He has negotiated and drafted innumerable contracts such as commercial leases, real estate purchase and sale agreements, employment agreements, and shareholder agreements. He has been awarded the highest peer review rating by Martindale-Hubbell, a resource for information on the worldwide legal profession.
Mr. Carr is a graduate of the University of Rochester and Albany Law School. While in Law School he was an editor of the Law Review and graduated Cum Laude. He was also elected to the Justinian Society.
